TERMS & CONDITIONS, POLICIES AND LEGAL DISCLAIMERS

These Terms & Conditions (“Terms”), along with our Privacy Policy, Refund Policy, and other policies (collectively, the “Agreement”), govern the use of this website and the services provided by Your Sellers Buddy (“Company”, “we”, “us”, “our”). By accessing this website or engaging our services, you (“Client”, “you”, “your”) agree to be bound by this Agreement.

 

1. ABOUT THE COMPANY

Your Sellers Buddy is an e-commerce enablement and consulting agency providing services including but not limited to marketplace onboarding, account management, cataloging, advertising management, brand consulting, and performance optimization across various online marketplaces.

 

2. SCOPE OF SERVICES

2.1  Services shall be provided as per the mutually agreed proposal, quotation, service agreement, or email communication.
2.2  Any additional services outside the agreed scope will be chargeable separately and executed only after written confirmation.
2.3  We do not guarantee specific sales, revenue, profit, ranking, or return on investment (ROI), as these depend on multiple external and uncontrollable factors.

 

3. CLIENT RESPONSIBILITIES

3.1  The Client agrees to provide accurate, complete, and timely information including product details, pricing, GST details, bank information, and marketplace credentials.
3.2  The Client is solely responsible for: – Product quality, compliance, legality, and certifications – Inventory availability and fulfillment – Order dispatch, delivery, returns, and customer satisfaction – Compliance with marketplace policies and applicable laws
3.3  Delays or losses caused due to incorrect or delayed information from the Client shall not be the Company’s responsibility.

 

4. MARKETPLACE DISCLAIMER

4.1  We act only as a service provider and have no control over marketplace platforms such as Amazon, Flipkart, Myntra, Meesho, Nykaa, or others.
4.2  Marketplaces may change their policies, algorithms, commission structures, visibility rules, or account terms at any time. The Company shall not be held liable for any impact arising from such changes.
4.3  Account suspension, listing removal, penalties, or restrictions imposed by marketplaces are beyond our control.

 

5. FEES, PAYMENTS & TAXES

5.1  Fees shall be paid as per the agreed payment terms mentioned in the proposal or invoice.
5.2  All payments are non-refundable unless explicitly stated otherwise in writing.
5.3  Late payments may attract service suspension without prior notice.
5.4  All applicable taxes, including GST, shall be borne by the Client.

 

6. REFUND & CANCELLATION POLICY

6.1  Once a service is initiated, no refunds shall be issued.
6.2  Advance payments are non-refundable under any circumstances.
6.3  The Company reserves the right to terminate services if the Client violates these Terms, marketplace policies, or applicable laws.

 

7. INTELLECTUAL PROPERTY RIGHTS

7.1  All strategies, creatives, processes, reports, and materials created by the Company remain its intellectual property unless agreed otherwise.
7.2  The Client shall not copy, resell, distribute, or reuse any Company material without prior written consent.

 

8. CONFIDENTIALITY

8.1  Both parties agree to maintain strict confidentiality of all proprietary, financial, and business information.
8.2  This obligation survives termination of services.

 

9. LIMITATION OF LIABILITY

9.1  The Company shall not be liable for any indirect, incidental, consequential, or special damages including loss of profits, sales, goodwill, or data.
9.2  Our maximum liability, if any, shall be limited to the service fees paid by the Client for the specific service in dispute.

 

10. INDEMNIFICATION

The Client agrees to indemnify and hold harmless the Company from any claims, damages, penalties, or legal actions arising out of: – Product defects or non-compliance – Customer disputes – Marketplace violations – Misrepresentation by the Client

 

11. TERMINATION

11.1  Either party may terminate services by providing written notice as per agreed terms.
11.2  Upon termination, all outstanding dues must be cleared immediately.

 

12. WEBSITE USAGE POLICY

12.1  Unauthorized use, hacking, scraping, or misuse of this website is strictly prohibited.
12.2  We reserve the right to restrict or terminate access without notice.

 

13. PRIVACY POLICY (SUMMARY)

13.1  We collect personal and business information solely for service delivery and communication.
13.2  We do not sell or share data with third parties except where legally required.

14. FORCE MAJEURE

The Company shall not be liable for failure or delay in performance due to events beyond reasonable control including natural disasters, government actions, platform outages, or technical failures.

 

15. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of India. Courts of Delhi shall have exclusive jurisdiction.

 

16. MODIFICATIONS

The Company reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
